Supplier Code of Conduct

Business should be won on merit.

Suppliers must comply with applicable laws, licences, permits, product regulations, import and export requirements and contractual obligations relevant to their operations and the transaction.

• Supply products and services that conform to agreed specifications.
• Do not provide counterfeit, substituted or knowingly misrepresented goods.
• Maintain relevant quality records and traceability where required.
• Promptly disclose material defects, recalls or compliance concerns.

Company documents, certificates, authorizations, test reports, quotations, invoices, origin information and product documentation must be authentic and accurate.

Suppliers must not offer or provide bribes, kickbacks, undisclosed personal commissions, improper gifts or other benefits intended to influence INUKA, a client or another procurement decision-maker.

Suppliers must disclose actual or potential conflicts that could improperly influence, or reasonably appear to influence, a procurement decision.

Suppliers must not engage in bid-rigging, collusion, price-fixing, fraudulent quotation practices or other improper interference with fair commercial evaluation.

Confidential client, INUKA or third-party information must be protected and used only for the authorized business purpose. Personal data must be handled in accordance with applicable data-protection law.

Suppliers are expected to comply with applicable employment, occupational safety and human-rights requirements and to avoid forced labour, unlawful child labour, harassment and unsafe working practices.

Where relevant to the supply, suppliers should comply with applicable environmental laws and responsibly manage waste, hazardous materials, packaging and environmental impacts.

Suppliers remain responsible for appropriately managing subcontractors used in fulfilling INUKA and client requirements, and should ensure relevant obligations flow down where appropriate.

Suspected bribery, fraud, counterfeit products, document falsification, serious safety issues or other material misconduct should be reported through INUKA's integrity channel.

Breach of this Code may result in additional review, corrective action, suspension, disqualification, termination, reporting to relevant authorities where required, or other appropriate action.
