INUKA works from a short-form mutual non-disclosure agreement governed by the laws of Uganda. It is issued on request and covers the following:

• Purpose — evaluating or performing a potential or agreed sourcing, procurement, supply or partnership opportunity.
• Confidential Information — non-public commercial, technical, financial, procurement, supplier, product, pricing, design or operational information disclosed in any form and reasonably understood to be confidential.
• Exclusions — information already lawfully known without restriction, public without breach, lawfully received from a third party, or independently developed.
• Obligations — use only for the Purpose, protect with reasonable care, and disclose only to personnel and advisers who need it and are bound by equivalent duties.
• Required disclosure — prompt notice where legally permitted, disclosing only what is required.
• No licence or commitment — disclosure transfers no intellectual-property rights and obliges neither party to enter a transaction.
• Return or destruction — on written request or termination of discussions, subject to lawful retention and backup requirements.
• Duration, remedies, governing law and amendment terms.
